Existing clients who are logging in for the first time need only use their last name and first initial as their user name and then use "esquire" as the password. Docketing Statement-NewTo determine if this form is required to be submitted with a company filing form, see the instructions to the form you are using to create the company. Generally, this form is needed with all new filings except Limited Partnerships and Foreign Limited Partnership Registrations and Fictitious Name Registrations. Again, see the instruction page of the form you are filing.
This is a Revenue form and will not be preserved by the Corporation Bureau nor will it be part of their official records that are open to the public. It is considered a confidential form. To obtain a copy subsequent to filing will require a release from the company addressed to the Dept. of Revenue, not the Corporation Brueau.

Docketing Statements - Changes
To determine if this form is required see the instruction page to the main form you are filing. It is generally used for all amendments, mergers, divisions (in which case a New Entity DS will also be needed) and other forms that are changing an original filing. Usually, if the original filing required a DS then any subsequent filing will require a DS-Changes but not always.
Domestic Business Corporations
1st - Articles of IncorporationUse this form to create a new corporation. Docketing Statement for new entities must accompany this form and Publications are required. We can also order a corporate kit from M. Burr Keim Company if requested.
1st Docketing Statement-New Entity ONLY
Use this DS for all "original" or "creation" filings such as Articles of Incorporation, Certificate of Organization, Foreign Registrations or Qualifications etc...

Amendment - Business/Professional Corporation
Use this form to amend a business or professional corporation's Articles of Incorporation. A DOCKETING STATEMENT (CHANGES), which is also in our form library, must accompany this form. It may be possible to expedite this filing if needed. Call us to find out if your amendment qualifies for expediting.
Change of Registered Office
This is a single purpose form used only to change the registered office of a company. If you are making other changes as well, you should consider using Articles of Amendment & a Changes Docketing Statement to save time and money by combining all changes on one form.
Consent to Appropriation of Name
Consent to Use or Appropriation of Name This form is used when one company is giving consent to another company for the appropriation (exact name includine designator) of their name. See our FAQ on Consents for a more detailed explanation.

Use this form to convert a business corporation to a nonprofit or vice versa.
Correction-Statement of
This form, when properly filled out (see our Assistance page for instructions) will fix an error on a previous filing and thereby has a retroactive effect. Unlike an amendment, which only effects changes from the date of filing or some future date, this form is used when you want to go back in time. Call us for more information.
Dissolution By Shareholders B4 Commencement of Business
Use this form to dissolve a corporation that never did any business. As far as we know there is no time limit on this form.

Specialized form for an Exchange
Involuntary Dissolution, Articles of
Specialized form for Involuntarily dissolving a corporation.
Merger, Articles of
Use this form if a corporation (foreign or domestic) is surviving the merger with another domestic or qualified foreign company (see Title 15 for types of companies permitted to be a party to the merger). This form may be modified to fit the characteristics of the particular merger.
Revival, Statement of
This is a specialized form very rarely used because it appears to be useful only when the company has been administratively rendered defunct.
Shares - Statement with Respect to Shares
Another specialized form use when the corporation desires to state the designation and voting rights, preferences, limitations and special rights, if any, of a class or series of it shares.
No Docketing Statement is requires but a separate form shall be submitted for each class or series affected.
Statutory Close Corporation Breach
Very specialized and infrequently used form which deals with the involuntary termination of statutory close corporation status.

Summary of Record, Statement of
There may not be any need to file this form now since the State was mandated by the 1988 BCL to collect all filings that were made at the county level. Even if the state missed an old company we can have it added to the database with your copy of the company's charter documents without the need to file this form. Call for more information.
Termination, Statement of
This is a specialized form used to terminate an amendment or merger or some other type of plan oriented filing that has not yet become effective due to the election of a future effective date in the prior filing. This form is NOT used to dissolve a company.
Changes-Docketing Statement is required.
Domestic Limited Partnerships
1st -Create a Limited PartnershipUse this certificate form to create a limited partnership. Don't forget to provide the address and name of the general partner and have the form executed corrected if the GP is an LLC or Corp. It should be executed By: Name of GP and Signed by an officer or manager/managing member of the LLC and identified as such.
Amend a limited partnership filing.
This form is used to amend a previously filed limited partnership. NOTE: A docketing statement changes is required only when you are changing the name of the limited partnership.
If you are changing the general partner be sure to include the name AND address of the new general partner and have the form signed by both incoming and outgoing general partners.
Important: If you also changed the name of the general partner you should make that name change recited in the LP amendment so that the Bureau will recognize the new name of the GP on future amendments to the LP.
Cancellation of a Limited Partnership
Use this form (not the Termination form) to bring an end to a limited partnership. Note: Clearance Certificates must accompany this form.

Certificate Pursuant to Judicial Order
Read the form and statutory section cited therein to determine this forms application. Very seldomly used.
Division of a Limited Partnership
This form is used when an existing LP will be divided into two or more companies. The "new" LP is called the "Resulting" company... see instructions to the form.

Merger - Limited Partnership Survivor
Use this form when the LP is a party to and the survivor of a merger with another entity. Consult the statute to determine if a merger is statutorily permissible.
Summary of Record
Seldom used form these days but it might still have a use. We recommend that you call us before using it as we may be able to save you the filing fee.
Termination of a Post-Effective Filing
This is a specialized form... open the attachment and read the form to determine if this form is needed. It is NOT used to dissolve or cancel a Limited Partnership.
Withdrawing a General Partner/Limited Partner
This form is used when an LP has more than one General Partners and one of them wants to withdraw from the LP. It can also be used to withdraw limited partners but since there no longer is a requirement to identify "limiteds" it is seldom used for that purpose any longer, at least in our experience.
Domestic LLC-LLP
1st Form- Certificate of OrganizationUse this form to create an LLC. You will also need a New Entity Docketing Statement. Please note that some paragraphs require a selection.
1st Form: Docketing Statement - to accompany Certificates of Organization
This form must accompany the Certificate of Organization. Paragraphs 1 -3 are mandatory. The other paragraphs are optional.
2nd Form: Register an existing LP or GP as an LLP
Use this form to register an already existing general partnership or limited partnership as a Limited Liability Partnership. There is no LLP creation form. This form is more like an election to become an LLP.
Amend an LLC filing.
Use this form to amend a previously filed LLC. A docketing statment-changes is not generally required but it is when the name is being changed...always see the instruction sheet to this form for more information.
Amendment-Termination-LLP
Use this form to amend or terminate a Domestic Registered LLP (see instructions)
Annual Registration
This form must be filed by professional LLC's and all LLP's that were in existence on December 31st of the year. Section 8998 requires these companies to file an annual registration by April 15th of the following year with the Department of State and pay an annual fee of $(check with the Corporation Bureau for the current fee) for each licensed member residing in PA (see the statute and the instructions on the form for all the particulars). Change of Registered Office
When the LLC has moved its location, it is required to inform the Corporation Bureau of that move by filing a Change of Registered Office. You do not need to file an amendment form unless you are also changing some other article on the original Certificate of Organization.
Conversion (election) of a Professional LLC into an Business LLC
A professional LLC would use this form to elect a business LLC status.
Dissolution of an LLC
Use this form to dissolve an LLC. Clearance certificates must accompany the dissolution. See our FAQ for information regarding the filing of the Clearance Applications and the time frames involved.
Division Form
Use this form for the rare situation when an LLC is dividing into one or more companies. A Docketing Statement-Changes must accompany the division and a New Entity Docketing Statement for each new company must also be included.
Division Termination
This form is used to terminate a previously filed division with a future effective date that has not yet arrived. Docketing Statement-Changes require.

Merger or Consolidation - LLC
Use this form when an LLC is the survivor of a merger involving another entity or other entities even if it or they are not LLC entities. A Docketing Statement-Changes is also required. Mergers can always be pre-cleared and expedited as long as the survivor's name is not being changed.
Termination of a Future Effective Merger
Use this form to terminate a merger that has previously been file but with a future effective date that has not yet arrived. Docketing Statement - Changes is required (see instructions to the form).
Termination of Merger or Consolidation - LLC/LP

Withdrawal from LLP

Domestic Nonprofit Corps
1st Form: Incorporation, Articles of -NonprofitThis form is used to create a Not for Profti corporation. A docketing statement is also needed. The statute requires publications... which we can handle for you -see our Services tab. Also, if you intent this to be a 501(C)(3) tax exempt organization, you will need to attach an Exhibit "A" with IRS required language. Call us for a sample if needed.

Use this form to amend the articles of the nonprofit corporation. You can make more than one change on this form... including a change of the registered office.

Fictitious Names
1st Form - Fictitious Name Registration FormUse this form to register a fictitious name. What is a fictitious name? See our FAQ section. This form is a multi-purpose form. It can be used for individual(s) registering a fictitious name or for a company that will be trading under a fictitious name. Rarely will a form include both an individual and a company so be sure before completing blocks 4 & 5. Exposure to liability could result to the individual if the form is improperly completed. Don't forget to be aware of the signatures required on this form... some lines are for individuals, some are for companies.

Use this form to amend a previously filed fictitious name registration. Subjects of amendment are: 1) Company name; 2) Company business activity; 3) Address of the company; 4) Registrants of the company, i.e. to add or withdraw owners;

1st Form - Fictitious Name Registration Needed When Name Unavailable
Use this form in conjunction with the Board Resolution, the Certificate of Authority and the Docketing Statement only when the name of the incoming corporation is not available for use in PA.

This is NOT an official state form but merely a sample board resolution. This type of resolution must accompany the Certificate of Authority when the foreign company's name is unavailable for use in PA. See our FAQ on this subject. Amendment-Certificate of Authority
Use this form to amend any of the information contained on the original Certificate of Authority filing. A docketing statement changes is required also. This form must also be used if you are merely changing the Registered Address of the company. You can not use the Change of Registered Office form.
Change of Address for an already Withdrawn Corporation
This is a specialized form used to change the address for service of process of a company that is already withdrawn.

Domestication, Articles of
This form is used to "domesticate" a foreign corporation into a Pennsylvania corporation. The foreign corporation must first be qualified in PA before it can be domesticated. A Docketing Statement is required. Consideration should be given to the need to restate the company's Articles of Incorporation to bring them into compliance with PA law.
Merger, Statement of
This form is only used to report the merger of two QUALIFIED foreign corporations therefore no clearance certificates are required.
Registration of Name - Nonqualified, Application
This form is used to register the name of a foreign corporation that has not yet qualified in PA but desires to protect its name until they are ready to register. Note the time for renewals on the instructions to the form.
Termination of Authority, Application for...
Use this form to terminate the Certificate of Authority for a foreign corporation. Clearance certificates are required. See our FAQ's, Forms Library and Links for Revenue Clearance Applications.
Foreign LLC, LP & LLP's
1st Form - Registration of a Foreign LLC, LP etc.This form usually requires a dockeing statement-new for LLC but not for for LP's and LLP's. Do not use this form to attempt to qualify a foreign corporation.

Use this form to cancel a previously filed registration of a foreign LLC, LP, LLP. Clearance certificates are required. The Clearance Applications must be filed with Depts. of Revenue and Labor & Industry. See our FAQ, and Revenue forms library. This process can take many months to obtain the clearance certificates first.

1874 Corporation Law
View and download the 1874 Corporation Law as originally passed (i.e. prior to amendments) which governed both "Not For Profit" and "For Profit" corporations. Amendments are being researched and will be added when found. This act was later repealed by the Act of May 5, 1933 Business Corporation Law which in turn was repealed by the 1988 General Associations Act. This is a large file, give it time to download.

Fictitious Name Act of 1917
This is the 1917 fictitious name act. See subsequent enactments. Note, these versions of the law are the original enactments as they appear prior to any amendments.
Note: This act answers the age old question that so many have asked over the years, i.e. were FN's required to be registered in both the Prothonotary and the Secretary of State. The answer is: YES.
Note also that the fine for failure to register was $500 in 1917. It remains $500 now.

Miscellaneous Forms
Consent to Appropriation of Name (Similar Name Consent No Longer Available)When a name is unavailable in PA, this form can be used to obtain authorization from the company that has rights to the name for the new company to use its name. If the name is similar, i.e. the same up to but not including the designator, then it is a "similar" name. If the name is the exact to the end including the designator, then an appropriation of name is required.
Examples:
Abc, Inc., a proposed company, requires a consent from Abc, Corp. an existing company but because there is no longer a Consent to Use of Similar Name they will need to choose a name that is available.
Abc, Inc., a proposed company requires an appropriation of name from Abc, Inc. an existing company. The requirements for appropriation are set forth in our FAQ: Click Here
Consent to Appropriation of Name (Unofficial)
Until the State issues the "official" replacement of the current Consent form (see FAQ's on Consents and the demise of Consent to Use of Similar Name), this form should suffice. You can use the current form as well but just be careful to complete the "appropriation" portions of the form.
Correction-Statement of
This form is used to correct certain errors in previously filed forms or to strike off filings other than initial filings such as Articles of Incorporation, Certificate of Organization for LLC's etc.
This filing can be use to change the original filing to which it relates thereby having a retroactive effect as to unaffected parties - See the Statute for more direction. Call us for more info or to discuss th application of this form.

Decennial Report
This form must be filed in every decennial year (i.e. 2010, 2020, 2030 etc.) in which the company had not filed any document with the Corporation Bureau (or a change of officer filing with the Dept. of Revenue) during the previous 10 years. If the entity was created or registered during that previous 10 years, no decennial report is required.
Merger: Statement of Merger
For two qualified foreign companies that are merging where one will be the survivor.

Unincorporated Association Registration
This is a specialized form...the statute should be consulted before using this form. It is generally used, for instance, by fire companies or auxilliary's or other groups the organize for a particular purpose but do not intent to incorporate.

Often called a Corporate Clearance from the old days, this form is needed when obtaining non-LCB clearances from the Departments of REVENUE and LABOR & INDUSTRY (Unemployment Compensation). This process can take many months at the Dept. of Revenue because they administer a number of taxes all of which must be cleared. The Labor & Industry certificate, on the other hand, is relatively quick (usually less than a month). See our FAQ section for more info.

Out of Existence Affidavit- Revenue Form (Corp/LLC Tax Only)
This form is used either by itself or in conjunction with a clearance application. It basically tells the Dept. of Revenue - Corporation Tax Division that the company is no longer doing business. The operative date in this form is the date business ceased and not the date that the form is filed. Once filed and accepted by Revenue, the company name becomes available at the Dept. of State Corporation Bureau. We often get a rush of these forms at year's end but Revenue tells us that the operative factor is NOT when the form is file but the "date of final business" reported on the form. 1st Form - Registration of MarkUse this form to register a Mark. Be sure to note the time limits for these registrations and tickle your file accordingly to renew the mark before its expiration.
1st Form - Registration/Amendment of Mark Use with Articles or Supplies

Title 54 - 1114 and 1115 See Instructions to the form for time limits on the effectiveness of this renewal. This is also a dual purpose form which can be used for Assignments as well. Don't forget to tickle your file for the end of the renewal period.
Uniform Commercial Code
1st-Form UCC-1 Financing StatementThis is the initial UCC form to file as part of the process to perfect a security interest in the collateral identified on the statement.
UCC-1 / Additional Parties Form
Use this form to add debtors and/or secured parties to the initial UCC-1 Financing Statement. It would accompany the UCC-1 as an attachment.
UCC-1 Addendum
Use this form to attach additional information to UCC-1 statement.
UCC-3 Addendum to Amendment Form
Use this form to attach additional information to a UCC-3 form that is being filed.
UCC-3 Amendment/Change form
Use this form to amend a previously filed UCC-1 form.
UCC-3 Additional Party Change Form
Use this form to change additional parties.
UCC-Correction/Contesting Form
The PA Corporation Bureau claims that this form is used to contest a UCC filing or the accuracy thereof. The filing of this form claiming that a UCC was filed fraudulently will, we are told, cause a hearing to be set to determine the validity of the filing identified on the form. See: Title 13 Sec. 9518 which seems to bear this out.
